Important. The MAEDN platform is currently under development and is not yet publicly available. These Terms govern the use of the Website only and do not, by themselves, create any contractual relationship for the provision of regulated financial services. Any future use of the platform will be subject to separate agreements, onboarding, due diligence and applicable regulatory requirements.

1. Scope and parties

These Terms of Use (the "Terms") govern your access to and use of the Website operated by MAEDN AG, Gotthardstrasse 26, 6300 Zug, Switzerland ("MAEDN", "we", "us") and any information, content, communication channels and tools made available through the Website. By accessing or using the Website, you (the "User") acknowledge that you have read, understood and agree to be bound by these Terms and by any document referenced herein, in particular our Privacy Policy and our Cookie Policy.

2. Definitions

  • "Website" means maedn.ch and any associated subdomains operated by MAEDN AG.
  • "Content" means all information made available on the Website, including text, graphics, code, layouts, designs, logos and downloadable documents.
  • "Platform" means the broker platform/software currently being developed by MAEDN AG for the exchange between fiat currencies and digital assets, with a focus on stablecoins.
  • "User" means any natural or legal person accessing or using the Website.

3. Acceptance and changes

Your continued use of the Website constitutes acceptance of these Terms. MAEDN may amend these Terms at any time, in particular to reflect changes in functionality, technology, or applicable law. The current version is always available on the Website. If you do not agree to a change, you must stop using the Website.

4. Permitted use of the Website

MAEDN grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access the Website and view its Content for your personal, internal or professional use of evaluating MAEDN as a counterparty or future partner, in compliance with these Terms and with applicable law.

5. Prohibited conduct

You agree not to, and not to assist any third party to:

  • access or use the Website in any manner that could disrupt, damage, overload or impair its functionality, security or availability;
  • access or use the Website for any illegal, fraudulent, deceptive or harmful purpose, or in breach of any sanction, embargo or export-control regime;
  • attempt to obtain unauthorised access to systems, networks or data related to the Website, or to circumvent any security or access-control mechanism;
  • use any robot, scraper, crawler, or automated means to access, extract or mirror the Website or its Content, except for legitimate search-engine indexing where permitted;
  • reverse-engineer, decompile or attempt to derive source code from the Website or any underlying software, except as expressly permitted by mandatory law;
  • copy, modify, translate, distribute, publicly display, publicly perform, license, sell, rent or otherwise commercially exploit any part of the Content without our prior written consent;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • upload or transmit viruses, malware, ransomware or any other malicious code through the Website or related communication channels;
  • use the Website to send spam, unsolicited communications, chain letters or pyramid schemes;
  • collect or harvest personal data of other Users or third parties without their consent.

6. No advice, no offer, no solicitation

The Content is provided exclusively for general informational purposes. It does not constitute, and shall not be construed as, financial, investment, legal, tax, accounting or any other form of professional advice, nor as an offer, recommendation or solicitation to buy, sell, hold or subscribe to any financial instrument, security, crypto-asset, stablecoin or service. Any decision must be based on your own assessment and, where appropriate, on independent professional advice.

7. Risks of crypto-assets and stablecoins

Crypto-assets, including stablecoins, involve significant risks. These include — without limitation — high price volatility, liquidity risk, technological risk (e.g. smart-contract bugs, blockchain forks, network congestion), custody and key-management risk, counterparty risk (e.g. issuer, exchange, custodian), regulatory risk, fraud and cyber risk, and the risk of total loss. Stablecoins may lose their peg, and their issuer or underlying reserves may be subject to legal, financial or operational difficulties. You should not engage with crypto-assets unless you fully understand and accept these risks.

8. Forward-looking statements

The Website may contain forward-looking statements regarding MAEDN's roadmap, planned platform features, planned completion in Q4 2026 and future operations. Such statements are based on current expectations and assumptions and are subject to risks and uncertainties — including technical development, partner integrations, operational readiness and regulatory requirements — and do not constitute a guarantee of future performance or availability. Actual outcomes may differ materially.

9. Intellectual property

All intellectual property rights in the Website and the Content are owned by MAEDN AG or its licensors. Except for the limited right granted in section 4, no rights or licences are granted, expressly or by implication, under any patent, copyright, trademark, trade secret or other intellectual property right.

10. Trademarks

"MAEDN", the MAEDN logo and the slogan "Where Fiat Meets Digital Assets." are trademarks of MAEDN AG. All other trademarks, service marks and trade names are the property of their respective owners and may not be used without the prior written consent of the owner.

11. Privacy and cookies

Personal data is processed in accordance with our Privacy Policy. Cookies and similar technologies are described in our Cookie Policy.

12. Availability and downtime

The Website is provided on an "as is" and "as available" basis. We do not warrant uninterrupted, error-free or secure operation. We may, at any time and without notice, modify, suspend, restrict or discontinue all or part of the Website, including for maintenance, security, technical, regulatory or commercial reasons.

13. Third-party content and links

The Website may contain references or links to third-party content. MAEDN does not endorse and assumes no responsibility for the accuracy, completeness, lawfulness or availability of any such third-party content. Use of third-party content is at your own risk.

14. Geographic and personal restrictions

The Website is published from Switzerland. Access from outside Switzerland is at your own initiative. The Website is not directed at, and the future Platform is not intended to be offered to, any person in any jurisdiction where such access, offer or solicitation would be unlawful or would subject MAEDN to any registration or licensing requirement that it does not currently hold. You are responsible for ensuring that your access to and use of the Website complies with the laws applicable to you.

15. Sanctions, AML and KYC

MAEDN does not provide services to persons or entities subject to applicable sanctions or embargoes (including without limitation those of Switzerland, the United Nations, the European Union, the United Kingdom and the United States). Any future onboarding to the Platform will be subject to know-your-customer (KYC), know-your-business (KYB), anti-money-laundering (AML) and counter-terrorism-financing (CTF) due diligence in accordance with applicable Swiss law, including the Swiss Anti-Money Laundering Act (AMLA) and applicable ordinances and self-regulatory standards.

16. Disclaimers and warranties

To the maximum extent permitted by law, MAEDN disclaims all express, implied or statutory warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, security and timeliness. MAEDN does not warrant that the Website will be free of errors, viruses or other harmful components, or that any defect will be corrected.

17. Limitation of liability

To the maximum extent permitted by Swiss law, MAEDN, its bodies, employees, agents and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, nor for any loss of profit, revenue, business, goodwill, data or opportunity, arising out of or in connection with the access to, use of or inability to use the Website, regardless of the cause of action and even if MAEDN was advised of the possibility of such damages. MAEDN's aggregate liability arising in connection with the Website shall in any case be limited to the maximum extent permitted by mandatory Swiss law. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under mandatory Swiss law (in particular gross negligence or wilful misconduct).

18. Indemnification

You agree to defend, indemnify and hold harmless MAEDN, its bodies, employees and affiliates from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from or related to: (a) your breach of these Terms or applicable law; (b) your misuse of the Website; or (c) your violation of any rights of a third party, in each case to the extent caused by your unlawful or contractual breach.

19. Term and termination

These Terms apply for as long as you access or use the Website. We may, at any time and at our sole discretion, restrict, suspend or terminate your access to the Website, in particular in the event of a breach of these Terms or of applicable law. Sections that by their nature should survive termination (in particular sections 9, 10, 16, 17, 18, 22 and 23) shall remain in force.

20. Force majeure

MAEDN shall not be liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including without limitation natural disasters, war, terrorism, pandemics, governmental actions, labour disputes, internet, telecommunications or power outages, blockchain network failures, third-party service disruptions or cyberattacks.

21. Severability and assignment

Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the economic purpose of the original provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MAEDN may freely assign its rights and obligations.

22. Entire agreement; language

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and MAEDN with respect to your use of the Website. Any translation of these Terms is provided for convenience only; in case of discrepancies, the English version shall prevail with respect to international users, while the German version shall prevail with respect to users to whom the German version was made available as the binding language.

23. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed exclusively by Swiss substantive law, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Zug, Switzerland, subject to any mandatory place of jurisdiction provided by Swiss law (in particular for consumers).
